Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and Melade, Inc., a Pennsylvania corporation (“Melade,” “we,” “us,” or “our”), governing your access to and use of the AgentGateway platform and any related websites, APIs, software, documentation, and services (collectively, the “Service”).

By accessing or using the Service, creating an account, or clicking “I agree,” you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Service.

1. The Service

AgentGateway is a platform for building, deploying, and managing AI “Agent Relays,” including features for agent-scoped email identities, workflow sessions, workflow patterns, credential and rate-limit management, audit logging, and related orchestration tooling. We may update, modify, or discontinue features of the Service from time to time. Material changes that adversely affect you will be communicated with reasonable advance notice where practicable.

2. Accounts and Eligibility

To use the Service, you must (a) be at least 18 years of age and capable of forming a binding contract, and (b) register for an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and API keys and for all activity that occurs under your account. You must promptly notify us of any suspected unauthorized access or use.

You may not use the Service if you are located in, or are a national or resident of, any jurisdiction subject to a comprehensive US embargo, or if you are on any US government restricted-party list.

3. Subscriptions, Fees, and Taxes

Access to paid tiers of the Service is provided on a subscription basis. You agree to pay all fees associated with your plan in accordance with the pricing and billing terms presented at the time of purchase. Unless otherwise stated:

Fees are quoted exclusive of taxes, duties, and similar governmental assessments, which are your responsibility. Subscriptions automatically renew for successive periods of the same length unless cancelled before the end of the then-current term. Except as required by law or as expressly provided in these Terms, fees are non-refundable. We may change our prices upon reasonable notice; changes take effect at the start of your next renewal term.

If your account is past due, we may suspend or terminate the Service until payment is received. You authorize us (or our payment processor) to charge your designated payment method for all amounts due.

4. Customer Data and Content

“Customer Data” means any data, content, files, configurations, prompts, messages, credentials, or other materials you or your authorized users submit to or generate through the Service, excluding Service-generated telemetry and metadata.

You retain all right, title, and interest in and to your Customer Data. You grant Melade a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and otherwise use Customer Data solely to provide, secure, support, and improve the Service for you and to perform our obligations under these Terms.

You represent and warrant that (a) you have all rights necessary to submit Customer Data to the Service and to grant the license above, and (b) your Customer Data and its use with the Service do not violate any applicable law or infringe the rights of any third party.

5. Acceptable Use

You agree not to, and not to permit any user or agent acting on your behalf to:

Use the Service to violate any applicable law or regulation, or to infringe the intellectual property, privacy, publicity, or other rights of any third party. Send unsolicited bulk email, spam, or other unlawful or deceptive communications through agent email identities or any other feature of the Service. Attempt to gain unauthorized access to the Service, other accounts, or any underlying systems, including by probing, scanning, or testing vulnerabilities without our prior written permission. Reverse engineer, decompile, or otherwise attempt to derive source code from the Service, except to the extent such restriction is prohibited by applicable law. Resell, sublicense, or provide the Service as a standalone product to third parties, other than use on behalf of end users consistent with your subscription plan. Use the Service to generate or distribute malware, phishing content, child sexual abuse material, content promoting violence or terrorism, or content intended to harass, threaten, or defame any person. Bypass or attempt to bypass any rate limits, quotas, access controls, or other technical protection measures.

We may investigate and take appropriate action — including suspending or terminating your account and preserving or disclosing information as required by law — in response to any actual or suspected violation of this Section 5.

6. Third-Party Services and Integrations

The Service integrates with third-party providers (such as email-sending providers, model providers, databases, and messaging platforms). Your use of third-party services is governed by those providers' own terms and privacy policies, and we are not responsible for their acts or omissions. You are responsible for obtaining any necessary rights, consents, and credentials required to enable integrations you choose to use.

7. Melade Intellectual Property

As between the parties, Melade and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, trademarks, and related intellectual property. No rights are granted to you except as expressly set forth in these Terms. You may provide feedback or suggestions about the Service; if you do, you grant Melade a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without restriction.

8. Confidentiality

Each party may receive non-public information from the other that is identified as confidential or that a reasonable person would understand to be confidential (“Confidential Information”). The receiving party will (a) use Confidential Information only to perform under these Terms, (b) protect it with at least the same care it uses to protect its own confidential information of like kind (and in no event less than reasonable care), and (c) not disclose it to third parties except to employees, contractors, or advisors with a need to know who are bound by confidentiality obligations no less protective than these. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known without restriction before disclosure, is independently developed, or is rightfully received from a third party without restriction.

9. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

The Service is provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by law, Melade disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. Melade does not warrant that the Service will be uninterrupted, error-free, or secure, or that any outputs produced by or through the Service will be accurate, complete, or suitable for your purposes. You are solely responsible for evaluating and verifying any agent output before relying on it.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Melade be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, and whether or not Melade has been advised of the possibility of such damages.

Melade's total cumulative liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees paid by you to Melade for the Service in the twelve (12) months immediately preceding the event giving rise to liability, or (b) one hundred US dollars (US$100). These limitations apply notwithstanding the failure of any limited remedy of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless Melade and its affiliates, and their respective officers, directors, employees, and agents, from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your breach of any representation, warranty, or obligation in these Terms. Melade will promptly notify you of any such claim, allow you to control its defense (with counsel reasonably acceptable to Melade), and provide reasonable cooperation at your expense.

13. Term, Suspension, and Termination

These Terms take effect when you first accept them and continue until terminated. You may terminate at any time by cancelling your subscription and ceasing use of the Service. We may suspend or terminate your access to the Service immediately if you materially breach these Terms, if required to comply with law, or if your account presents a security or integrity risk to the Service or other users.

Upon termination, your right to use the Service ceases, and we may delete Customer Data in accordance with our retention policies and the Privacy Policy. Sections that by their nature should survive termination — including sections on Customer Data ownership, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Philadelphia County, Pennsylvania, for any action not subject to arbitration.

The parties waive any right to a jury trial and, to the maximum extent permitted by law, any right to participate in a class, collective, or representative action. Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or through the Service) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

16. Miscellaneous

These Terms, together with the Privacy Policy and any order form or plan terms referenced at sign-up, constitute the entire agreement between you and Melade regarding the Service and supersede any prior or contemporaneous agreements on the same subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. No waiver of any term will be deemed a further or continuing waiver of such term or any other term. You may not assign these Terms without Melade's prior written consent; Melade may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any notices to Melade must be sent to the address below; notices to you may be sent to the email address associated with your account.
